These Terms of Service ("Terms") govern your access to and use of websites, applications, and services operated by SoLoVision LLC ("SoLoVision", "we", "us", or "our"), including our suite of SoLo apps (collectively, the "Services"). By accessing or using the Services, you agree to these Terms.
Platform Terms: These are our master terms. Specific SoLoVision apps may include additional terms or addenda that apply in addition to these Terms and control to the extent of any conflict.
1. Eligibility
You must be able to form a binding contract to use the Services. If you use the Services on behalf of an organization, you represent you have authority to bind that organization to these Terms.
2. Accounts and Security
Some Services may require an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
You agree to provide accurate information and to notify us promptly of any unauthorized use or security breach related to your account.
3. Acceptable Use
You agree not to misuse the Services. For example, you will not:
- Access or use the Services in violation of applicable laws or regulations
- Interfere with or disrupt the integrity or performance of the Services
- Attempt to gain unauthorized access to accounts, systems, or networks
- Upload or transmit malware or harmful code
- Reverse engineer or attempt to extract source code except where permitted by law
4. Intellectual Property
The Services and all related content, logos, designs, and software are owned by SoLoVision or its licensors and are protected by intellectual property laws.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes.
5. User Content
If you submit content to the Services (for example, support ticket messages), you retain ownership of your content. You grant SoLoVision a worldwide, non-exclusive license to host, store, reproduce, and process your content as needed to provide and improve the Services and to operate our support workflows.
You represent you have the rights necessary to provide the content and that it does not infringe or violate the rights of others.
6. Third-Party Services
The Services may integrate with third-party services (for example, authentication providers, analytics, hosting, and customer support tooling). Your use of third-party services may be governed by those third parties' terms and privacy policies.
7. Disclaimers
The Services are provided "as is" and "as available". To the fullest extent permitted by law, SoLoVision disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free.
8. Limitation of Liability
To the fullest extent permitted by law, SoLoVision will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising out of or related to your use of the Services.
9. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless SoLoVision from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services or your violation of these Terms.
10. Termination
We may suspend or terminate access to the Services at any time if we reasonably believe you have violated these Terms, pose a security risk, or if required to do so by law. You may stop using the Services at any time. Instructions for account and data deletion can be found here.
11. Governing Law
These Terms are governed by the laws of the State of Ohio, without regard to conflict of laws principles, except where prohibited by applicable law.
12. Changes to These Terms
We may update these Terms from time to time. We will update the "Last updated" date above. Your continued use of the Services after changes become effective indicates your acceptance of the updated Terms.
